HELP! Exchange licensing

Ok guys, i think i want to go with exhange for my biz. I will have about 300 accounts for a good while. 95% of those users will use a web interface. My question is what kind of license will i need? Microsoft has these user CAL's and device CAL's and i'm not sure what i need to do here. Only 1 client will be on the LAN. Will i need a user CAL for all the others?

Also I am upgrading our server to win2003, will i need seperate licenses for those people to connect to the server to get to their email?

I hope i'm making sense. I need to make this switch here very soon. If you guys might have a better solution for my email needs i'm all ears.
