I have a client who has his entire site in ASP code.
I can look at them in dreamweaver and I can make changes.. OK.

My question.
Dos ASP pages have disadvantage over htm pages over SEO stand point?

Nope shouldn't matter. I don't believe search engines check file type extensions as part of their check.

YEAH, ALL PAGES PROCESSED BY SE ARE HTML, THE SE CANNOT TOUCH ANY ASP PAGES, SO THERE IS NO DIFFERENCE!

However, ASP and php pages output only html, and are seen as html by search engines. There is no difference in using ASP, php or even making up your own extension, as long as the content is HTML and the headers reflect that.
