OK, I have stacked 2 divs as a footer and the lower layer (z index 1) is a flash movie with a very simple rollover.. I then have another div (z index 2) that has my footer text in it (copyright ect...).

The problem is that I only get the rollover action when the flash layer is above the text layer..
Then the animation is over the text and blocks it and its unable to be read..
The purpose of the rollover is the darken the bg behind the text to make it more legible.

How can I set this up so the lower layer will act upon the mouseover?

Thank you in advance..

Can't you make the text DIV have an onmouseover event rather then creating a different div for it?

you have to change the mouseover even from the upper layer. I'm not exactly clear on what your trying to do but the way browsers work is that an interactive item (link, flash, etc) will take the focus and not allow you to "click through" it to a layer below.
